Agreement

These Terms of Use ("Terms") govern access to and use of the Site operated by SilverSphere Capital. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms do not create a broker–client, adviser–client, or agency relationship by themselves. Capital solutions through SilverSphere Management, LLC are offered only to qualified project partners and remain subject to separate agreements and underwriting.

Permitted use

You may use the Site for lawful personal or business purposes related to exploring commercial real estate development and capital services.

You may not scrape, reverse engineer, overload, or interfere with the Site; attempt unauthorized access; upload malware; or use the Site in any way that violates applicable law or third-party rights.

Projects and information

Project descriptions, photos, measurements, program details, availability, and market information are provided for general marketing purposes and may change without notice.

Nothing on the Site constitutes legal, tax, investment, or lending advice, or a binding offer to sell interests, finance a project, or lease space. Confirm all material facts with our team and appropriate professionals before making decisions.

Intellectual property

The Site, including text, photography, video, logos, and design, is owned by SilverSphere Capital or our licensors and protected by copyright and trademark laws.

You may not copy, modify, distribute, or create derivative works from Site content without our prior written permission, except for limited personal, non-commercial viewing.

The Site may link to third-party websites, maps, social networks, or messaging apps. We are not responsible for their content or practices.

Disclaimer of warranties

SilverSphere Capital makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Limitation of liability

To the fullest extent permitted by law, SilverSphere Capital and its officers, agents, and affiliates — including SilverSphere Management, LLC — will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site.

Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (USD $100) or the minimum amount allowed by law in your jurisdiction, whichever is greater.

Indemnity

You agree to indemnify and hold harmless us from claims arising out of your misuse of the Site or violation of these Terms.

Governing law

These Terms are governed by the laws of the State of NY, without regard to conflict-of-law rules, except where mandatory consumer protections in your home jurisdiction apply.

Disputes will be brought in the state or federal courts located in that state, and you consent to personal jurisdiction there, unless applicable law requires otherwise.

Changes

We may revise these Terms at any time by posting an updated version on the Site. Your continued use after changes constitutes acceptance.
